These Terms of Sale outline essential conditions applicable to all accepted orders. Once incorporated, they remain valid for future transactions unless amended by written agreement between the parties.

1. Formation of Contract. A contract of sale under these terms is formed when we expressly accept your order. The contract is conditional on the availability of the wines at the time of acceptance, and we will notify you promptly if they are no longer available.

2. Payment terms. Payment must be made upon issuance of the invoice. Late payments will accrue interest at 5% above the Bank of England’s base rate from the due date until the full amount is received.

3. Retention of ownership until payment. (a) We retain ownership of all goods sold until full payment for any outstanding order is received. This applies to goods held under bond in your account but does not include items fully paid for and in your possession. Risk transfers to you once we notify you that the goods have been assigned to fulfill your order. (b) Until ownership transfers, we reserve the right to inspect goods not in our direct possession and may require their return. Failure to comply allows us to enter premises where the goods are stored to reclaim them. (c) We may suspend deliveries and collections if any payments remain unpaid.

4. Storage and Delivery. When purchasing wine, you must decide whether to store it with us or arrange delivery. If you choose storage with us, our specific storage terms apply. Wines stored on your behalf are assigned to your name but remain under our custody. If requested, we can arrange delivery as your agent but will not be liable for carrier issues if you engage with us in a business context. Failure to pay storage or administration fees may result in the sale of your stored wines, as outlined in our terms.

5. Goods Inspection. You are responsible for inspecting the goods immediately upon receipt and notifying us or the carrier of any damage or shortage. If no notice is given within one day, any deficiency will be presumed to have occurred post-delivery.

6. Force majeure. We will not be held liable for failure to fulfill obligations due to events beyond our reasonable control.

7. Wine condition and attributes. While we act in good faith when purchasing wines, we cannot be responsible for their condition or specific attributes.

8. Governing Law. This contract is governed by English law and falls under the exclusive jurisdiction of the English Courts.
